Welcome to Sivvy.ai. These Terms of Service ("Terms") govern your access to and use of the Sivvy.ai platform and services (the "Service") operated by Sivvy AI ("Sivvy," "we," "us," or "our").

By creating an account or using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.

1. The Service

Sivvy is an AI-powered platform that transforms resumes and professional information into personal websites. The Service includes:

• Website generation: AI-driven creation of personal professional websites.
• Content enrichment: AI-enhanced descriptions, summaries, and professional narratives.
• AI headshot generation: Artificially generated professional profile images.
• Chat agent: An AI-powered conversational agent embedded on your generated website that responds to visitor questions about your professional background.
• Hosting: Your generated website is hosted at a subdomain (e.g., name.sivvy.ai).

2. Eligibility

You must be at least 16 years of age to use the Service. By using the Service, you represent and warrant that you meet this requirement and have the legal capacity to enter into these Terms.

3. Account Registration

• You must provide accurate, current, and complete information when creating an account.
• You are responsible for maintaining the confidentiality of your account credentials.
• You are responsible for all activity that occurs under your account.
• You must notify us immediately at hello@sivvy.ai if you suspect unauthorized access to your account.

4. Pricing and Payment

4.1 Plans

Prices subject to change with notice. The Service is offered under the following tiers:

All payments are processed through Stripe. By making a purchase, you agree to Stripe's terms of service. We do not store your full payment card information on our servers.

4.3 Subscription Billing

• Subscriptions are billed monthly on the anniversary of your sign-up date.
• You may cancel your subscription at any time. Cancellation takes effect at the end of the current billing period.
• We do not provide prorated refunds for partial billing periods.

We may change our pricing with at least 30 days' notice. Price changes for existing subscribers take effect at the start of the next billing period following the notice.

By using Sivvy, you acknowledge and accept these limitations of AI technology.

6. Acceptable Use

You agree not to use the Service to:

• Misrepresent credentials: Create websites containing false degrees, certifications, job titles, employers, or other professional qualifications you do not hold.
• Impersonate others: Generate websites or content that impersonates another person or misrepresents your identity.
• Upload harmful content: Submit content that is illegal, defamatory, obscene, harassing, threatening, or otherwise objectionable.
• Distribute malware: Upload files containing viruses, malware, or other harmful code.
• Spam or abuse: Use the Service for bulk generation, scraping, or any automated abuse.
• Circumvent security: Attempt to bypass, disable, or interfere with any security features.
• Violate laws: Use the Service in any manner that violates applicable local, state, national, or international law.

We reserve the right to suspend or terminate accounts that violate these terms without notice or refund.

7. Intellectual Property

7.1 Your Content

You retain all ownership rights to the content you upload to the Service, including resumes, photos, professional information, and any other materials you provide. By using the Service, you grant Sivvy a non-exclusive, worldwide, royalty-free license to host, display, serve, process, cache, and store your content as necessary to provide the Service. This license terminates when you delete your account or remove the content, subject to reasonable technical delays.

7.2 AI-Generated Content

Content generated by the Service (enriched text, AI headshots, website designs) is created for your use. You may use AI-generated content for personal and professional purposes. We do not claim ownership of AI-generated content created for your account. However, AI-generated content may incorporate elements from AI models trained on publicly available data, and we make no warranties regarding originality or non-infringement.

7.3 Sivvy's Intellectual Property

The Service itself — including its software, design, branding, logos, documentation, and underlying technology — is and remains the property of Sivvy AI. These Terms do not grant you any rights to Sivvy's intellectual property beyond the limited right to use the Service as described herein.

8. Data and Privacy

Your use of the Service is also governed by our Privacy Policy, which describes how we collect, use, and protect your information. By using the Service, you consent to the practices described in the Privacy Policy.

9. Account Termination

9.1 Termination by You

You may delete your account at any time through the Service or by contacting hello@sivvy.ai. Upon deletion, your generated website will be taken offline immediately. Your personal data, uploaded documents, and AI-generated content will be deleted from active systems within 30 days. Data in encrypted backups may persist for up to 90 days. Active subscriptions will be cancelled with no refund for the current billing period.

9.2 Termination by Sivvy

We may suspend or terminate your account at any time for violation of these Terms, fraudulent or illegal activity, extended inactivity (see Section 9.3), or non-payment. Where possible, we will provide notice before termination. In cases of severe violations, we may terminate immediately without notice.

Upon termination, your right to use the Service ceases immediately. Sections that by their nature should survive termination will survive, including Sections 7 (Intellectual Property), 10 (Disclaimers), 11 (Limitation of Liability), and 13 (Governing Law).

In no event shall Sivvy be liable for any:

• Indirect, incidental, special, consequential, or punitive damages.
• Loss of profits, revenue, data, business opportunities, or goodwill.
• Damages arising from AI-generated content, including inaccurate information, unsuitable headshots, or inappropriate chat agent responses.
• Damages resulting from unauthorized access to or alteration of your data.
• Damages arising from third-party services, including AI model providers and payment processors.

You acknowledge that the limitations in this section are fundamental to the pricing of the Service and that Sivvy would not provide the Service without these limitations.

12. Indemnification

You agree to indemnify, defend, and hold harmless Sivvy AI, its officers, directors, employees, and agents from and against any claims, damages, losses, liabilities, and expenses (including reasonable attorneys' fees) arising from:

• Your use of the Service.
• Your violation of these Terms.
• Content you upload or publish through the Service.
• Your violation of any third-party rights.
• Any claim that your published website contains false, misleading, or defamatory content.
• Misrepresentation of qualifications or credentials on your generated site.

13. Governing Law and Disputes

13.1 Governing Law

These Terms are governed by the laws of the United States. Disputes will be resolved in accordance with applicable federal and state law.

13.2 Dispute Resolution

Before initiating any formal proceeding, you agree to attempt to resolve the dispute informally:

1. Informal resolution: Contact us at hello@sivvy.ai and we'll work to resolve it within 30 days.
2. Mediation: If informal resolution fails, we agree to attempt mediation before pursuing other legal remedies.
3. Binding arbitration: Any unresolved disputes will be settled by binding arbitration in accordance with the rules of the American Arbitration Association.

13.3 Limitation on Claims

Any claim arising from or related to these Terms or the Service must be brought within one (1) year after the cause of action arises, or it is permanently barred.

14. General Provisions

• Entire agreement: These Terms, together with our Privacy Policy, constitute the entire agreement between you and Sivvy regarding the Service.
• Severability: If any provision is found to be unenforceable, the remaining provisions will continue in full force and effect.
• No waiver: Our failure to enforce any provision does not constitute a waiver of that provision or any other provision.
• Assignment: You may not assign or transfer your rights under these Terms without our prior written consent. We may assign our rights and obligations without restriction.
• Force majeure: Sivvy shall not be liable for any failure or delay in performance resulting from causes beyond our reasonable control, including natural disasters, war, government actions, internet or infrastructure failures, or third-party service outages.
